It is well recognised that company law is a large and complex subject which has expanded rapidly in volume in recent years. Added to this is the continual reform to the existing law. This is partly due to the need to comply with obligations imposed on the United Kingdom from Brussels, but partly because of the increasing complexity of commercial life generally. There is no sign that the growth and reform is at an end. In addition, there are now two established series of specialist company law reports (Butterworths Company Law Cases and British Company Cases) which have obviously resulted in many more cases reaching the public domain for comment and analysis. Further, no work on Company Law can now ignore the extra-legal controls and influences on director’s conduct contained in the recent reports on corporate governance nor the proposals for reform put forward, in particular, by the Law Commission. Congressional representation requires that legislators be aware of the interests of constituents in their districts and behave in ways that reflect the wishes of their constituents. But of the many constituents in their districts, who do legislators in Washington actually see, and who goes unseen? Moreover, how do these perceptions of constituents shape legislative behavior? This book answers these fundamental questions by developing a theory of legislative perception that leverages insights from cognitive psychology. Legislators are shown to see only a few constituents in their district on a given policy, namely those who donate to their campaigns and contact the legislative office, and fail to see many other relevant constituents. Legislators are also subsequently more likely to act on behalf of the constituents they see, while important constituents not seen by legislators are rarely represented in the policymaking process. Overall, legislators' views of constituents are limited and flawed, and even well-meaning legislators cannot represent their constituents if they do not accurately see who is in their district.

This book intervenes in contemporary debates about the threat posed to democratic life by political emergencies. Must emergency necessarily enhance and centralize top-down forms of sovereignty? Those who oppose executive branch enhancement often turn instead to law, insisting on the sovereignty of the rule of law or demanding that law rather than force be used to resolve conflicts with enemies. But are these the only options? Or are there more democratic ways to respond to invocations of emergency politics? Looking at how emergencies in the past and present have shaped the development of democracy, Bonnie Honig argues that democracies must resist emergency's pull to focus on life's necessities (food, security, and bare essentials) because these tend to privatize and isolate citizens rather than bring us together on behalf of hopeful futures. Emphasizing the connections between mere life and more life, emergence and emergency, Honig argues that emergencies call us to attend anew to a neglected paradox of democratic politics: that we need good citizens with aspirational ideals to make good politics while we need good politics to infuse citizens with idealism. Honig takes a broad approach to emergency, considering immigration politics, new rights claims, contemporary food politics and the infrastructure of consumption, and the limits of law during the Red Scare of the early twentieth century.
