The Council Directive of 21 April 2004 on takeover bids sets forth the general principles applicable to takeover bids and clarifies certain minimum rules with respect to the procedure for a takeover bid, the obligation to make a mandatory bid in the event a minimum threshold is crossed and the majority shareholder's squeeze-out right as well as the minority shareholders' sell-out right. Furthermore, the Directive defines the authority which is competent to approve offer documents and supervise takeover bids, and provides for optional restrictions on the actions of the target company's management and on defence mechanisms. This book discusses the Takeover Directive and its implementing rules in each Member State of the European Union and the European Economic Area, providing companies and their advisors with useful insight into the legal framework and principles applicable to takeover bids in the region.

This 2007 book examines environmental law from a range of perspectives, emphasising the policy world from which environmental law is drawn and nourished. Those working within the discipline of environmental law need to engage with concepts and methods employed by disciplines other than law. The authors analyse the ways in which legal activities are supported and legitimated by work in traditional scientific or technical domains, as well as by certain more obscure but also influential cultural or philosophical assumptions. This book examines the doctrine of transgenerational punishment found in the Decalogue-that is, the idea that God punishes sinners vicariously and extends the punishment due them to three or four generations of their progeny. Though it was "God-given" law, the unfairness of punishing innocent people merely for being the children or grandchildren of wrongdoers was clearly recognized in ancient Israel. В науковій доповіді висвітлено специфіку та засади світової кооперативної політики щодо сприяння розвитку кооперативів. Виявлено особливості та недоліки становлення законодавчої бази України в сфері розвитку сільськогосподарської кооперації. Розкрито національну специфіку функціонування виробничих та обслуговуючих сільськогосподарських кооперативів. Означено деструктивні чинники у сфері діяльності виробничих сільськогосподарських кооперативів. Аргументовано наявність системних протиріч сучасного законодавства України щодо обмежень легітимізації правового статусу сільськогосподарських обслуговуючих кооперативів, як неприбуткових організацій. Визначено, що виявлені недоліки є чинником подальшої стагнації кооперації в сільській місцевості, занепаду сільськогосподарських кооперативів, як бази формування соціального капіталу сільської території та її комплексного розвитку. Обґрунтовано пропозиції щодо системного державного врегулювання політики децентралізованого стимулювання та сприяння розвитку сільськогосподарської кооперації в Україні в контексті актуалізації пріоритетів Державної стратегії регіонального розвитку, затвердженої постановою Кабінету Міністрів України від 6 серпня 2014 р. № 385.

Дисертація є першим, проведеним в Україні, комплексним дослідженням використання інструментальної діагностики достовірності вербальної інформації та її результатів у кримінальному провадженні. Розкрито генезис та наукові підходи до цієї експертної діяльності. Проаналізовано вітчизняну й зарубіжну практику нормативно-правового регулювання інструментальної діагностики достовірності вербальної інформації у правоохоронній діяльності. Зосереджено увагу на правових засадах закріплення поліграфних перевірок у діяльності органів внутрішніх справ України; особливостях організаційних, тактичних та інших питань, пов’язаних із психофізіологічними дослідженнями ідеальних слідів відображення під контролем поліграфа. Обґрунтовано необхідність нового виду судової психофізіологічної експертизи з використанням поліграфа та правові засади. Запропоновано методику її проведення і використання отриманих результатів у кримінальному провадженні. Викладено зміст та особливості експертного висновку, підготовленого експертом-поліграфологом за результатами її виконання. Визначено місце отриманих даних цієї експертизи в загальній системі процесуальних доказів. Запропоновано конкретні шляхи подолання проблемних питань інструментальної діагностики достовірності вербальної інформації, які, на погляд дисертанта, є суттєвими у формуванні думки щодо цієї експертної діяльності.
