The study of international law has, in some ways, undergone dramatic changes over the past centuries, but it has also stayed remarkably the same. The subject matter with international legal components has expanded dramatically and the depth of international law’s reach has also increased. Froman early reliance on theological writings and natural law, international law has evolved substantially to include a variety of sources for rules, most notably custom and treaties. Early international law focused extensively on the territory of states and the regulation of the use of armed force.

The Council Directive of 21 April 2004 on takeover bids sets forth the general principles applicable to takeover bids and clarifies certain minimum rules with respect to the procedure for a takeover bid, the obligation to make a mandatory bid in the event a minimum threshold is crossed and the majority shareholder's squeeze-out right as well as the minority shareholders' sell-out right. Furthermore, the Directive defines the authority which is competent to approve offer documents and supervise takeover bids, and provides for optional restrictions on the actions of the target company's management and on defence mechanisms. This book discusses the Takeover Directive and its implementing rules in each Member State of the European Union and the European Economic Area, providing companies and their advisors with useful insight into the legal framework and principles applicable to takeover bids in the region.

It is well recognised that company law is a large and complex subject which has expanded rapidly in volume in recent years. Added to this is the continual reform to the existing law. This is partly due to the need to comply with obligations imposed on the United Kingdom from Brussels, but partly because of the increasing complexity of commercial life generally. There is no sign that the growth and reform is at an end. In addition, there are now two established series of specialist company law reports (Butterworths Company Law Cases and British Company Cases) which have obviously resulted in many more cases reaching the public domain for comment and analysis. Further, no work on Company Law can now ignore the extra-legal controls and influences on director’s conduct contained in the recent reports on corporate governance nor the proposals for reform put forward, in particular, by the Law Commission. This edition deals with the main features of both the Law Commission’s Report on Shareholder Remedies and the Law Commission’s Consultation Paper on the reform of director’s duties.

This volume brings together some of the best recent work by philosophers and legal theorists on the conceptual and normative grounding of international criminal law. Philosophers and other theorists are only just beginning to write about the emerging field of international criminal law. International law has taken a significant turn in recent years. Rather than being primarily concerned with the relations of states, one significant branch of international law – namely, international criminal law – now concerns the relations of individuals, specifically, the responsibility of individuals for mass atrocities. As with any such change, there are many questions and problems that arise. In our book, we begin with considerations of the conflict between state sovereignty and universal jurisdiction; examine thorny issues raised when the victims or the perpetrators of international crimes are groups or corporations; proceed through various specific questions related to justice and human rights; and conclude with chapters on how international criminal trials should be seen in terms of theories of punishment and reconciliation. This book examines the doctrine of transgenerational punishment found in the Decalogue-that is, the idea that God punishes sinners vicariously and extends the punishment due them to three or four generations of their progeny. Though it was "God-given" law, the unfairness of punishing innocent people merely for being the children or grandchildren of wrongdoers was clearly recognized in ancient Israel. A series of inner-biblical and post-biblical responses to the rule demonstrates that later writers were able to criticize, reject, and replace this problematic doctrine with the alternative notion of individual retribution. An examination of the legal framework of the EU internal market as established in the case law of the European Court of Justice, discussing in particular EC competition law, the free movement of goods, services, persons and capital and the evolution of the interpretation of the provisions. The 'State' has been retreating from direct intervention in economic life as more goods and services, the provision of which was once thought to be a 'public' responsibility, are delivered through market mechanisms. Given the need for consistent application of EC law in the internal market, a common core conception of public authority, shielded from the discipline of EC competition law, is needed. The resulting realignment of public and private functions and responsibilities is not a linear and coherent process, especially in light of the changing nature of the European legal integration project and the progressive incorporation of non-economic values in the Treaties.

In the quarter-century since this book first appeared, there have been few moments of uncertainty as to the direction of international relations and international law to compare with the early years of the twenty-first century. Globalisation has brought undoubted benefits in the fields of commerce, technology and communications, but also increased dangers concerning the rapid spread of disease and the growth of international terrorism. The clearly understood rules and limitations as to state conduct apparent during the ColdWar period have disappeared and (for the moment at least) the optimism engendered by a renewed United Nations in the early 1990s has dissipated.
